Draft - The Excalibur Hockey League Corp.
The Plan
Excalibur is a Canadian company incorporated in the Province of British Columbia and intends to bring new rules to the games of hockey and basketball. Within the public school system of high schools, teams will play in Excalibur's rink.
The Rink will be a massive structure and along with having two hockey rinks and a basketball court, there will be a hotel, convention space, restaurants, an opera house, a Globe Theatre, a symphony hall, a show gallery, golf simulators, batting cages, a shooting range, a nightclub, a casino, a food court plus numerous other appropriate retail enterprises.
The game of hockey can have up to six games within each game. Meaning, at times the teams may be playing players equaling 5 on 5, 5 on 4, 5 on 3, etc. for a total of six different games.
Excalibur will have one game of 5 on 5 players, there will be much fewer face-offs and no penalty boxes. Play will continue if a penalty occurs and the penalty will be acknowledge by the referees and when the third penalty occurs the person who the penalty occurred to, saying the penalty was for tripping, the player tripped will be given a penalty shot.
Faceoffs will be minimized as after a goal is scored the puck will be placed behind the net, the team who was scored upon will have control of the puck, after 15 seconds as is the estimated time for line changes, play will commence and no opposing players can cross the end line where the puck is being controlled until the player with the puck moves it forward across the end line.
The new rules for basketball are straightforward. Canadian high school basketball games have a playing time of 32 minutes with four 8 minute quarters. For reference, Canadian college basketball games have a playing time of 40 minutes with 4 ten minute quarters. Excalibur basketball will have playing time of 60 minutes and there will be three, twenty minute periods with two, fifteen minute intermissions and, as in hockey, players will be able to, while the game is being played, freely come on and off the court.
Excalibur expects to have Rinks in numerous countries as hockey is played mostly in northern climes and basketball is played world wide.
In Canada Rinks are expected to be built close the greater metropolitan areas of Toronto, Ontario, and Edmonton and Calgary, Alberta.
Demographics, available zoned land, roadways, and jurisdictional regulations are the reason that these areas are suitable for Rinks.

Capital Structure
McGill and Leaf
McGill shares will be used when Excalibur issues a prospectus document to acquire the capital for the first Rink. It will be a large offering. Along with each McGill share purchased an investor will also receive one Leaf at a cost of one cent.
The McGill shares will be classified as preferred redeemable which means they will receive an annual simple interest return of 3%, have a term of ten years and can be bought back (redeemed) by Excalibur. The Leaf share will be retained by the investor.
The McGill shares can be redeemed because once the first Rink is operating, Excalibur expects that the net income generated by the Rink can allow for a mortgage to be placed on the Rink thus providing Excalibur with funds to redeem the McGill shares.
Excalibur's intent with these shares and the investors who have purchased them is that it doesn't want any investor to have serious capital at risk.
McGill shares will be voting shares and Leaf shares, as they have a cost basis of one cent, will not be voting shares.
McGill and Leaf shares will not be dilutable, meaning, dividends will be be issued, based on the number of shares in this class and the percentage of this class of shares of all the classes.
Canadien
Through centuries and through the years, philanthropy has allowed Excalibur to come into being. Recognizing this philanthropy over 600 institutions, schools, churches, universities, cities, towns and people who have educated, supported, encouraged and helped those who have organized and created Excalibur will be receiving Canadien shares at a cost of $.0001 per share.
Most of the over 600 entities will receive these shares when an offering memorandum is filed with security regulators as regulations prevent a large number of shares being issued without an offering memorandum.
Canadien shares will not be dilutable, meaning, dividends will be issued, based on the number of shares in this class and the percentage of this class of shares of all the classes.
Bruin
These shares will be used in the first stage of Excalibur acquiring the necessary capital to build and open the first Rink. Lenders can lend a minimum of $5,000 to Excalibur and are lent with an interest rate of 10% and a term of two years.
For a $5,000 loan lenders will receive 50,000 Bruin shares at a cost of $.0001 per share. Increments of $1,000 over $5,0000 will be given 10,000 Bruin shares at a cost of $.0001.
An offering memorandum providing this opportunity will soon be issued by Excalibur. The minimum offering in the memorandum will be $600,000 and the maximum will be $1,800,000.
The offering memorandum will acquire the capital needed by Excalibur to issue a prospectus document, in Canada and the United States of America, to acquire the large amount of capital needed to build and operate the first Rink.
Bruin shares will not be dilutable, meaning, dividends will be be issued, based on the number of shares in this class and the percentage of this class of shares of all the classes.
Blackhawk
These shares, over the years, will be issued to directors of Excalibur and other individuals that impact Excalibur in a highly positive capacity. It is expected that directors, for a three year term, will receive 150,000.
In the early years of Excalibur it is expected that input and advice from directors will be critical and most welcome.
When these shares are fully issued then future directors and individuals who impact Excalibur in a highly positive capacity will be issued Red Wing shares.
Blackhawk shares will not be dilutable as dividends will be be issued, per corporate documents, pro-rata based on the original share percentages of each class.
The cost of the Blackhawk shares is $.0001 per share.
